Michigan Businesses Beware! Don’t File This Fraudulent Form.

If you receive a form called 2019 — Annual Records Solicitation Form, Shareholders, Directors, and Officers, don’t complete the form. And, don’t submit the requested payment. This is a fraudulent form. This isn’t an official document from the LARA Corporations Division.

The letter says it’s from Michigan Council of Corporations which isn’t a government entity. According to Michigan’s Dept. of Licensing and Regulatory Affairs (LARA), this entity is trying to collect “a $150 fee to prepare ‘corporate consent records in lieu of annual meeting minutes.'”

As a corporation, you’re required to file your annual report through LARA’s Corporations, Securities, and Commercial Licensing Bureau (CSCL), not via this form.
